Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you and Panoptes governing your use of the Panoptes marketing site and dashboard (the “Service”). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization.

Panoptes provides software that uses autonomous agents to perform penetration testing of web applications, APIs and cloud environments, producing findings, evidence and reports. Security testing is inherently probabilistic: Panoptes does not guarantee that it will discover every vulnerability, and a clean result is not a warranty that a system is secure.

This is the most important part of these Terms. You may direct Panoptes to test only systems that you own or are expressly authorized to test, and only within the scope you define.

• You represent and warrant that, for every target you add, you hold all authorizations required to have that target tested, and that doing so does not violate any law or any third party’s rights.
• You will not use the Service to test, probe or attack any system you are not authorized to test, nor to gain unauthorized access to any data, account or network.
• You will keep your authorized scope accurate and up to date, and you are responsible for the scope you configure and the activity it triggers.
• You will not use the Service to violate any law, infringe intellectual property, transmit malware for unlawful purposes, or disrupt the Service or other users.

You are solely responsible for your use of the Service against your targets. We may suspend or terminate access we reasonably believe is unauthorized or unlawful.

You must provide accurate account information and keep your credentials secure. You are responsible for all activity under your account. Notify us promptly at contact@pnpts.com if you suspect unauthorized use.

Paid plans are billed through our payment processor on the terms presented at purchase. Unless stated otherwise, fees are non-refundable and exclusive of taxes. We may change pricing prospectively with notice; changes do not affect a term you have already paid for.

As between you and Panoptes, you own the data you provide and the findings and reports generated for your organization. You grant us the limited rights needed to operate and improve the Service and to deliver results to you. Our handling of personal data is described in our Privacy Policy.

Each party may receive information that is confidential to the other, including your findings and scope. Each party will protect the other’s confidential information and use it only to perform under these Terms.

The Service, including its software, models, design and content, is owned by Panoptes and protected by law. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service; they transfer no ownership. You may not copy, reverse-engineer or create derivative works from the Service except as permitted by law.

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied or statutory, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted or error-free or that it will detect all vulnerabilities.

To the maximum extent permitted by law, Panoptes will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenues or data. Our total liability for any claim arising out of or relating to the Service will not exceed the amounts you paid us in the twelve months before the event giving rise to the claim.

You will defend and indemnify Panoptes against claims, losses and expenses arising from your use of the Service, your data, or your breach of these Terms — including any claim that a target you tested was not properly authorized.

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or if we must do so to protect the Service or comply with law. Provisions that by their nature should survive termination will survive.

We may update these Terms from time to time. When we make material changes we will update the date above and, where appropriate, notify you through the Service. Your continued use after an update means you accept the revised Terms.
